Who do these terms apply to?
These terms apply to quotations, assignments and agreements between UwBedrijfOnline and clients acting in the course of a business, profession or self-employed activity.
The services are not intended for consumers acting wholly or mainly for private purposes. By placing an order, the client confirms that the service is being purchased for business or professional purposes.
Different arrangements apply only if they have been confirmed in writing or by email.
Quotation and agreement
An enquiry submitted through the website is non-binding and does not create a final agreement.
The agreement is formed after:
- UwBedrijfOnline has confirmed the offer, price and work in writing or by email; and
- the client has accepted the offer and these Terms and Conditions in writing, digitally or by email.
Obvious errors, mistakes and incorrect price statements do not bind UwBedrijfOnline.
What do we provide?
UwBedrijfOnline builds straightforward, professional websites for sole traders, freelancers, self-employed professionals and small businesses.
The exact scope of the assignment is set out in the offer, order confirmation or other written arrangements between the parties. The basic package may include:
- a professional one-page business website;
- a design suited to the client’s business and industry;
- the inclusion of supplied text, photographs and business information;
- suitable display on desktop, tablet and mobile devices;
- a contact or enquiry option;
- one consolidated revision round; and
- technical delivery in accordance with the agreed process.
Services or components that are not expressly stated are not included in the assignment.
Client responsibilities
The client must provide all information and materials needed to build the website on time. These may include:
- the business name and contact details;
- a description of services and activities;
- a logo, photographs and other images;
- prices, opening hours and service area;
- the required text and legally required information; and
- access to hosting, the domain or an existing website where necessary.
The client is responsible for ensuring that the supplied information is accurate and that all materials may lawfully be used.
Delays caused by incomplete, incorrect or late information will extend the agreed schedule.
Prices and taxes
The price of the current basic package is €495 excluding VAT, unless a different price or scope has been agreed in writing.
The final price and included work will be confirmed before work begins.
VAT and any other applicable taxes will be handled in accordance with the tax rules applicable to the client, the service and the invoice.
Costs for third-party services, such as domain registration, hosting, paid fonts, images, licences or paid plugins, are included only if expressly stated.
Invoicing and payment
The basic package is invoiced in two instalments: 30% as an initial payment and 70% before the website is published.
Work begins after the initial payment has been received. The website will not be published or finally transferred until the remaining amount has been paid in full.
Unless the invoice states otherwise, invoices must be paid within fourteen days of the invoice date.
If an invoice is not paid on time, UwBedrijfOnline may:
- suspend the work temporarily;
- postpone delivery or transfer;
- charge reasonable debt-collection and legally recoverable costs; and
- terminate the agreement after a written payment reminder if payment remains outstanding.
A suspension for non-payment does not affect the client’s payment obligations.
Schedule and delivery
Any stated delivery time is a careful estimate and begins only after:
- the assignment has been finally confirmed;
- all required materials have been received;
- any agreed advance payments have been received; and
- the required access to hosting and other systems is available.
Exceeding an estimated delivery time does not automatically entitle the client to compensation or termination.
If a delay occurs, UwBedrijfOnline will contact the client and the parties will agree a revised schedule.
Revision round and additional work
The basic package includes one consolidated revision round. The client should provide the requested corrections together in a single overview wherever possible.
A revision round is intended for reasonable corrections within the originally agreed design and scope.
Additional work includes, for example:
- new pages or functions;
- a completely new design or structure;
- new requests made after approval of the revision round;
- large amounts of new or replacement content;
- work required because of changes to third-party systems; and
- changes outside the original scope.
Additional work will be performed only after the client has been informed of the consequences for price and schedule.
Review and delivery
The client must review the website before or promptly after delivery for errors and deviations from the agreed scope.
The basic package includes fourteen days of technical aftercare from delivery. Demonstrable technical faults within the agreed work must be reported during this period, together with a clear description of the issue.
UwBedrijfOnline must first be given a reasonable opportunity to correct a demonstrable fault within the agreed work.
Minor differences that do not restrict the normal operation of the website do not entitle the client to reject the entire assignment.
Hosting, domains and third-party services
Hosting, domain registration, email services and other third-party services are subject to the terms and technical capabilities of the relevant provider.
UwBedrijfOnline is not responsible for outages, price changes, security incidents, changes to or discontinuation of third-party services.
The client remains responsible for the timely payment and renewal of the domain, hosting and external subscriptions unless otherwise agreed in writing.
Text, photographs and supplied materials
The client confirms that all supplied text, logos, photographs, trade names and other materials may lawfully be used.
The client indemnifies UwBedrijfOnline against third-party claims arising from the use of supplied materials without permission, a licence or another lawful basis.
The client remains responsible for:
- the accuracy of business information;
- claims about products, services, prices and results;
- industry-specific permits and information requirements; and
- legal texts that specifically apply to the client’s business.
Intellectual property
After full payment, the client may use the delivered website for its own business.
Reusable code, general structures, working methods, technical solutions, section layouts and underlying website-building systems remain the property of UwBedrijfOnline and may be reused for other projects.
Rights in third-party software, plugins, images, fonts and other materials remain with their respective owners and are subject to their licence terms.
UwBedrijfOnline will use a client’s name, images or website as a public portfolio or example project only with the client’s permission.
Maintenance, aftercare and later changes
The basic package includes fourteen days of technical aftercare from delivery. This aftercare is intended to correct demonstrable technical faults within the agreed work.
New requests, content changes and extensions are not included in technical aftercare. After the aftercare period, changes may be carried out as a separate assignment.
The usual fixed prices are:
- minor change: €35 excluding VAT;
- change block: €75 excluding VAT;
- larger extensions: a fixed price agreed in advance.
Without a separate maintenance agreement, the client is responsible after delivery for:
- WordPress and plugin updates;
- backups;
- security and access management;
- content changes;
- renewal of hosting and the domain; and
- repairs required after changes made by the client or a third party.
Results and search visibility
UwBedrijfOnline will use reasonable efforts to deliver the website professionally and in good technical order, but does not guarantee specific commercial results.
No guarantee is given regarding:
- a particular position in Google or another search engine;
- a minimum number of visitors, enquiries or sales;
- approval by advertising, payment or platform providers;
- uninterrupted operation of internet or third-party services; or
- continued compatibility after future technical changes made by third parties.
Liability
UwBedrijfOnline is liable only for direct loss that is demonstrably caused by an attributable failure within the agreed work.
To the extent permitted by law, UwBedrijfOnline’s total liability is limited to the amount paid by the client for the assignment concerned.
UwBedrijfOnline is not liable for indirect or consequential loss, including loss of profit, loss of revenue, missed opportunities, loss of data, reputational damage or business interruption.
These limitations do not apply where liability cannot lawfully be excluded or where the loss results from intent or deliberate recklessness.
Force majeure
UwBedrijfOnline is not liable for delay or failure caused by circumstances beyond its reasonable control.
These circumstances may include:
- prolonged internet, power or hosting outages;
- illness or unexpected personal circumstances;
- cyberattacks and security incidents;
- failures affecting third-party providers;
- government measures, natural disasters or civil unrest; and
- other circumstances that could not reasonably have been prevented.
Work will resume as soon as reasonably possible. In the event of prolonged force majeure, the parties will discuss an appropriate solution.
Cancellation and termination
Because the services are offered exclusively to business clients, no statutory consumer right to cancel the agreement without reason within fourteen days applies.
If the client cancels after work has begun, the 30% initial payment will not be refunded.
If the website is not yet ready for delivery at the time of cancellation, UwBedrijfOnline will not charge an additional amount for the basic assignment beyond the initial payment.
If the website is ready for delivery, the full agreed price remains payable. Third-party costs already incurred or approved in writing also remain payable.
Either party may terminate the agreement if the other party continues to commit a material breach after being given a reasonable written period in which to remedy it.
Confidentiality and personal data
The parties will handle confidential business information shared during the assignment with due care and use it only to perform the agreement.
Personal data is processed as described in UwBedrijfOnline’s Privacy Notice.
Passwords and access credentials will be shared only where necessary. The client is advised to change passwords after delivery.
Complaints
A complaint should be reported as soon as possible by emailing info@uwbedrijfonline.com.
The client must clearly describe what it believes is wrong and first give UwBedrijfOnline a reasonable opportunity to investigate and, where necessary, correct the issue.
The parties will first try to resolve any dispute through consultation.
Changes to these terms
UwBedrijfOnline may amend these Terms and Conditions when its services, business operations or applicable regulations change.
For an existing assignment, the version provided to the client when the agreement was concluded will continue to apply unless the parties agree otherwise in writing.
Governing law and jurisdiction
The agreement between UwBedrijfOnline and the business client is governed by Bulgarian law, unless the parties make a different choice of law in writing.
The parties will first try to resolve any dispute amicably. If that is unsuccessful, the dispute will be submitted to the competent court in Varna, Bulgaria, to the extent that such a choice of jurisdiction is legally permitted.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in effect as far as possible. The parties will replace the invalid provision with a valid provision that most closely reflects its original purpose.
